Think in context of unlawful trade restraints, liquidated damages, anti-trust
where California and Washington are heavy on business regulation and protective of local businesses.
Consider that a California court will review claims where an out-of-state organization uses trade restraining and liquidated damages contract provisions to interfere with and penalize a California organization's (the PAC 12) actions to affiliate with two California higher-education institutions' (SDSU and Fresno State).
Not good for the MWC.
